Last Updated: October 23, 2026 · Applies to website use, applications, and merchant engagements
By submitting an application or other form, signing electronically, checking an acceptance box, instructing LeoLENDINGroup ("LeoLEND," "LLG," "we," "us") to proceed after these Terms are provided or identified, or otherwise affirmatively manifesting assent to these Terms, you enter into a binding agreement with LLG and agree to these Terms of Service, our Privacy Policy, Disclosures, and Legal & Disclaimers pages, all of which are incorporated by reference. Website access and activity may be logged as evidence of notice and use, but an electronic signature or other affirmative assent is intended to evidence your agreement. You are responsible for reading the terms presented or linked to you and for asking any questions before you assent.
Calls & Email: By submitting a form on this website, calling our phone numbers, or providing your contact information to us regarding business funding, you consent to receive calls and emails from LeoLENDINGroup about your inquiry and related funding options at the contact information you provide.
Text Messages (Express Opt-In): LLG sends text messages only to people who give express consent — by checking the unchecked SMS consent box on an LLG form, texting a keyword or "START" to our number, or giving recorded verbal consent. By opting in, you agree to receive recurring text messages from LeoLENDINGroup about your funding inquiry and application, which may be sent using automated technology. Consent is not a condition of applying, funding, or any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel, HELP for help. Full program terms are in the SMS Program Terms.
Email, Text & Verbal Acceptance: When an LLG representative provides, links to, or expressly identifies these Terms and you then instruct LLG by email, text message, or telephone/verbal confirmation to proceed, accept, submit, communicate with an introduced party, or take another material step for your benefit, that affirmative instruction may constitute acceptance of these Terms to the fullest extent permitted by law. LLG may retain the related electronic record, timestamp, written confirmation, or lawfully made call record as evidence of assent. Merely receiving an unsolicited message, without affirmative assent, does not by itself create acceptance. All communications between you and LLG form part of the legal record of the relationship as described on the Legal page.
10DLC Compliance & Data Sharing: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text-messaging originator opt-in data and consent will not be shared with any third party.
Opting Out: You can opt out of SMS messages at any time by replying "STOP". For emails, use the unsubscribe link at the bottom of the email. Carriers are not liable for delayed or undelivered messages.
LeoLENDINGroup connects businesses with funding solutions. We are not a bank. The products offered may include merchant cash advances (which are purchases of future receivables, not loans) and other commercial financing products. All products are for business purposes only. Offers are subject to underwriting approval and are not guaranteed. Nothing on this site is an offer, commitment, or quote.
You represent and warrant that all information and documentation you submit is true, complete, current, and accurate, and that you are authorized to submit it. Submitting false, forged, altered, concealed, or materially misleading information — including fabricated bank statements, misrepresented ownership, undisclosed funding activity, or a deceptive attempt to bypass LLG after an introduction — may violate applicable civil or criminal law. We may verify submissions, preserve evidence, refer suspected unlawful conduct to appropriate authorities, and pursue available civil remedies. A final determination that you knowingly made a material misrepresentation may be used as evidence bearing on credibility, intent, breach, and damages, subject in every instance to the applicable rules of evidence and the authority of the court or arbitrator.
"Introduced Party" means any lender, funder, bank, broker, ISO, referral source, syndicator, investor, strategic partner, business partner, vendor, service provider, or other person or entity whose identity, contact information, program, opportunity, relationship, or access is disclosed, arranged, facilitated, or made known to you by LLG, directly or indirectly, whether the introduction occurs before or after an application is submitted.
For one hundred ten (110) calendar days after each introduction or the last material LLG-facilitated interaction relating to that Introduced Party, whichever is later, you shall not, without LLG's prior written consent, directly or indirectly bypass or circumvent LLG; solicit, negotiate, contract, transact, accept funding, or pursue a commercial opportunity with that Introduced Party outside LLG; use another broker, agent, affiliate, employee, owner, intermediary, or related entity to do so; or conceal a transaction or communication undertaken for the purpose or reasonable effect of depriving LLG of compensation, participation, or the benefit of the introduced relationship. This restriction covers funding relationships and other commercial or business relationships introduced by LLG, whether the transaction closes during or after your active engagement with LLG. It does not prohibit ordinary non-transactional communications, communications expressly authorized in writing by LLG, or communications required by law.
Introductions and relationship rights created during the engagement remain protected for the full 110-day period even if direct contact later occurs between you and the Introduced Party. Any accrued payment, compensation, or anti-circumvention rights survive termination of services for the full protection period and for any longer period separately agreed in writing for a specific transaction.
Circumvention damages: LLG determines whether circumvention occurred, as set out in the Backdooring & Non-Circumvention clause. If proven, LLG is entitled to its full compensation at maximum upsell, fixed as liquidated damages of twelve percent (12%) of the gross funded amount of the circumventing transaction (and of each renewal, refinance, or additional funding of it during the protection period), due and payable upon funding.
You shall not knowingly make a materially false factual statement about LLG or any of its owners, officers, managers, employees, or agents (collectively, "Covered Persons"); falsely attribute a statement or act to them; conceal or mischaracterize an LLG introduction or transaction; or intentionally interfere with an identifiable existing or prospective professional or business relationship of LLG or a Covered Person. This protection applies to relationships with funding partners and to other business or professional relationships introduced, developed, maintained, or reasonably expected by LLG.
For proven fraud, intentional deceit, or concealment of a transaction, LLG may seek all remedies available under applicable law, including actual damages, disgorgement, unpaid commissions or compensation, reasonably incurred investigation and enforcement costs, and attorneys' fees where recoverable. Circumvention of an LLG-introduced transaction is measured by the 12% liquidated-damages provision in Section 5. Where a transaction also involves proven fraud or intentional deceit beyond the circumvention itself, LLG may seek its greater provable actual damages, and LLG shall not obtain duplicative recovery for the same loss.
For a proven material breach involving a knowingly false factual statement or intentional interference that causes reputational or relationship harm, the parties acknowledge that the resulting loss may be difficult to quantify. To the fullest extent permitted by law and only where enforceable as liquidated damages rather than a penalty, the agreed minimum measure is $10,000 per materially distinct breach or separately affected relationship. If reasonably provable actual damages exceed that amount, LLG and, where legally entitled, the affected Covered Person may seek the greater provable loss without double recovery. No contractual liability cap applies to proven fraud, intentional deceit, willful circumvention, defamation, or intentional interference, subject to applicable law.
Recoverable loss may include reasonably foreseeable direct and consequential costs of remediation, investigation, lost commissions, lost business opportunity, and the lost economic value of an identifiable professional or entity relationship. Where supported by concrete evidence such as contracts, historical course of dealing, renewal patterns, prior earnings, or reasonably certain projections, LLG may present a relationship-value calculation covering a period of up to twenty-five (25) years, subject to applicable law and the court's or arbitrator's determination of causation, certainty, mitigation, and recoverability. Each materially distinct false communication or separately damaged relationship may constitute a separate breach when based on separate conduct, but the same loss may not be recovered twice.
A typed name, checked acceptance box, click-to-sign process, electronic signature, electronic sound, symbol, or process adopted with intent to sign, or another affirmative electronic act intended to authenticate an agreement may constitute a binding signature to the fullest extent permitted by applicable law. Your use of email, text, or telephone to expedite a transaction may also evidence acceptance when these Terms are provided or clearly identified and you affirmatively instruct LLG to proceed. You remain responsible for reviewing the terms made available to you and requesting clarification before assent.
These Terms and all LLG agreements, policies, and programs are subject to change. LLG may amend them at any time by posting a revised version with a new "Last Updated" date and providing any notice required by applicable law. A revision does not retroactively create new liability for conduct completed before its effective date unless separately agreed. Continued use of LLG services after the effective date of a revision, or a new affirmative assent when required, constitutes acceptance to the fullest extent permitted by law.
This Agreement has no fixed expiration and remains in effect unless and until terminated as provided here or superseded by a later written agreement governing the same subject matter. LLG may terminate future services or your authorization to communicate with LLG or an Introduced Party regarding an LLG-managed transaction by clearly instructing you to cease such communications. That notice terminates the future engagement or authorization identified by LLG; it does not extinguish accrued payment obligations, liability for prior conduct, evidence-preservation duties, or provisions that by their nature are intended to survive. The 110-day non-circumvention protection survives for its stated period, and provisions concerning accrued compensation, fraud, remedies, indemnification, intellectual property, dispute resolution, and other obligations expressly or inherently intended to survive remain effective after termination for the maximum period permitted by applicable law.

You agree to indemnify, defend, and hold harmless LeoLENDINGroup and its owners, officers, employees, agents, and funding partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the website; your breach of these Terms; the inaccuracy of any information you submit; or your violation of any law or third-party right.
THIS WEBSITE, ALL CONTENT, AND ALL LLG SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LLG IS NOT RESPONSIBLE FOR THE DECISIONS, OFFERS, TERMS, OR CONDUCT OF ANY FUNDER, LENDER, OR THIRD PARTY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEOLENDINGROUP SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THIS WEBSITE OR LLG'S SERVICES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED ONE HUNDRED DOLLARS ($100.00).
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of leolend.com shall be resolved exclusively by final and binding arbitration administered on an individual basis. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator's award shall be final and enforceable in any court of competent jurisdiction. The prevailing party shall be entitled to recover its costs and reasonable attorneys' fees.
These Terms are governed by applicable federal law and the law of the state of LLG's principal place of business, without regard to conflict-of-law rules, except to the extent another law must apply. If any provision, remedy, duration, or damages formula is held invalid or unenforceable, it shall be enforced to the maximum lawful extent and, where permitted, narrowed or reformed rather than invalidating the remainder. These Terms, together with the incorporated policies and any transaction-specific written agreement, constitute the agreement governing the matters they address; a transaction-specific signed agreement controls to the extent of a direct conflict on that transaction.
